1. Scope of Agreement

These Terms & Conditions ("Terms") govern the relationship between Glow Saunas Pty Ltd and any individual or organisation that purchases our products or services, accesses our website (www.glowsaunas.com.au), or engages with any of our materials, content, communications, or support either online or offline. By engaging with Glow Saunas in any capacity, you agree to adhere to these Terms, which form a binding legal agreement between you and us.

2. Definitions

In these Terms, "Company", "we", "us", or "our" refers to Glow Saunas Pty Ltd. "Customer", "you", or "your" refers to any person or business that purchases from or interacts with the Company. "Goods" refers to all tangible products offered for sale, including sauna units, parts, accessories, and any components. "Services" includes delivery, installation, consultation, support, and all other services provided by the Company. "Website" means www.glowsaunas.com.au and any associated web-based platforms, emails, or digital communications.

3. Authority and Discretion

Glow Saunas maintains sole discretion regarding matters involving pricing, order management, warranty eligibility, product descriptions, service standards, and dispute resolution. We retain the right to determine the most appropriate response to warranty claims, product concerns, and refunds. By placing an order or engaging with us, you acknowledge and accept our exclusive authority in making such decisions.

4. Orders and Pricing

Prices listed are in Australian Dollars (AUD) and may be adjusted without prior notification. Quotations are valid for seven (7) days unless otherwise specified. Orders are only confirmed when payment (either in full or by deposit) has been received. If a deposit is paid, the balance must be finalised within thirty (30) calendar days of the initial payment. This is required regardless of whether delivery or installation has occurred. Payment of the balance is not conditional on inspection or use of the Goods. We reserve the right to amend pricing errors and cancel or refuse orders at our discretion. If payment has already been made on a cancelled order, a refund will be issued unless otherwise stated.

5. Delivery

All orders are delivered to the closest practical access point, typically curbside. Our logistics partners are not permitted to move or install items indoors. It is the Customer's responsibility to provide appropriate access, space for unloading, and any necessary equipment or assistance for receiving the delivery. While estimated delivery timeframes may be provided, delays caused by customs clearance, weather, third-party carriers, or unforeseen factors are beyond our control. Additional delivery charges may apply for rural or difficult-to-access locations or failed deliveries requiring rescheduling.

6. Installation

The Customer is responsible for ensuring the intended installation site meets the necessary spatial, structural, and access requirements. Unless otherwise agreed in writing, installation does not include electrical or plumbing work. If required, we may recommend installers, but the Customer contracts directly with them, and we are not liable for any delays or workmanship arising from third-party contractors.

7. Product Variations

Because many of our saunas are made from natural timber and other organic materials, natural variances in colour, grain, texture, and finish may occur. These characteristics are not considered defects. Visuals shown on the Website or in marketing materials are intended as illustrative representations only, and actual delivered items may differ slightly.

8. Warranty

All Goods are covered by a manufacturer's warranty as set out in the product documentation. This warranty does not extend to damage arising from improper installation, neglect, exposure to harsh weather, unauthorised repairs, or failure to follow maintenance instructions. To submit a claim, the Customer must contact us in writing and provide visual proof (photos or video). We reserve the right to determine the best course of action, including whether to repair, replace, or decline the warranty claim.

9. Cancellations and Returns

Once production has begun or Goods have shipped, cancellations are not permitted. Approved cancellations prior to this point are subject to a minimum restocking and administration fee of 15%. Change-of-mind returns are not accepted. All refunds exclude shipping, handling, and any third-party service charges.

10. Risk and Ownership

Risk passes to the Customer at the point of delivery, even if the Customer is not present to receive the Goods. Ownership transfers only once full payment is received. We are not responsible for damage due to storage, weather, pests, or mishandling post-delivery.

11. Limitation of Liability

Our liability is limited to the cost of the Goods or Services provided. To the maximum extent permitted by law, we exclude liability for any indirect, consequential, or incidental damages. The Customer acknowledges responsibility for any injuries, health complications, or other adverse outcomes resulting from improper use of our products.

12. Indemnification

You agree to indemnify and hold Glow Saunas, its officers, staff, contractors, and affiliates harmless from any loss, liability, claim, or expense (including legal fees) arising from your use of our Goods or Services, breach of these Terms, or violation of applicable law.

13. Force Majeure

Glow Saunas is not responsible for delay or failure to fulfil obligations due to events outside our reasonable control, including but not limited to natural disasters, pandemics, shipping delays, border closures, raw material shortages, or industrial actions.

14. Intellectual Property

All intellectual property associated with Glow Saunas' products, packaging, branding, and marketing materials (including logos, website content, images, and guides) is either owned by or licensed to us. Reproduction, distribution, or commercial use of our intellectual property without prior written consent is prohibited.

15. Product Changes & Marketing Imagery

We reserve the right to update product specifications, imagery, features, inclusions, and pricing without notice. Any promotional imagery or photos may show upgraded models or optional extras not included in your order. These visuals do not entitle you to retroactive changes or refunds.

16. Website Conduct

By using our website, you agree not to engage in conduct that disrupts, damages, or exploits our platform or users. This includes unauthorised access, distribution of harmful software, or using our forms for unsolicited communications. We reserve the right to block users, restrict access, and take legal action where appropriate.

17. Governing Law

These Terms are governed by and construed under the laws of Victoria, Australia. All legal matters or disputes will be resolved in the courts of Victoria unless otherwise required by law.

18. Entire Agreement

These Terms represent the complete agreement between Glow Saunas and the Customer. Any prior discussions, negotiations, or communications not explicitly included herein are excluded and superseded.

19. Modifications

Glow Saunas may modify, revise, or replace these Terms at any time. The updated Terms will be published on our website, and continued use of our products or services implies acceptance of the revised version.

20. Privacy & Data Protection

We are committed to protecting your personal information in accordance with privacy laws. By using our website or services, you agree to our handling of your data as outlined in our Privacy Policy. We do not sell your data and only share it with third parties when necessary to fulfil services or legal obligations.

21. Dispute Resolution

Should a dispute arise, both parties agree to attempt to resolve it through direct negotiation. If a solution is not reached within fourteen (14) days, either party may propose mediation by an independent mediator in Victoria before taking legal action.

22. Third-Party Providers

We may refer or suggest independent contractors or service providers for certain tasks like delivery or installation. These parties operate independently, and Glow Saunas is not liable for their conduct or the outcomes of their services.

23. Use of Images

By submitting or consenting to photos of your sauna setup, you grant Glow Saunas a royalty-free, indefinite licence to use such content in promotional, training, or editorial contexts. You may withdraw this consent at any time by contacting us in writing.

24. Waiver

Our decision not to enforce a right or provision under these Terms does not constitute a waiver of that right or any other provision.

25. Severability

If any part of these Terms is determined to be unlawful or unenforceable, the remainder shall remain valid and enforceable to the maximum extent permitted by law.
